PURPOSETIX Nonprofit / Tax-Exempt ORGANIZATION AGREEMENT
Agreement Profile: Nonprofit / Tax-Exempt
Agreement Version: agreement-nonprofit-2026-11
Effective Date: November 5, 2026
This Organization Agreement ("Agreement") is between CollabLynx ("PurposeTix," "Platform," "we," or "us") and [Organization entered in Step 1] ("Organization" or "you"). The individual accepting this Agreement represents that they are authorized to act for the Organization.
1. PURPOSE AND SCOPE
PurposeTix provides event-ticketing, event-management, communications, QR check-in, fundraising or organization-management capabilities according to the Organization's selected plan, eligibility, enabled features, and applicable commercial terms. The Organization may use PurposeTix only for lawful activities and in accordance with this Agreement, applicable Platform policies, and applicable law.
Organization Type: [Organization type selected in Step 1]
PurposeTix Plan: Community
2. ORGANIZATION AUTHORITY, INFORMATION ACCURACY AND VERIFICATION
The person creating or administering the Organization workspace represents that they are authorized to act for the Organization and, where applicable, bind it to this Agreement. The Organization must not impersonate another person or organization or falsely claim an affiliation, authority, nonprofit status, tax-exempt status, governmental status, ownership interest, or other organizational status.
The Organization agrees that information and documents submitted to PurposeTix will be accurate, complete, current, and not intentionally false or misleading, including organization identity, contact information, tax or nonprofit information, event information, payment and billing information, verification documentation, and public content. The Organization must reasonably update material information when it changes.
The Organization must provide a valid administrative email controlled by the Organization or by an individual authorized to represent it. PurposeTix may verify ownership of the email before activating a production organization. Organization-domain addresses may proceed through normal verification. Public email services or a professional domain different from the Organization's domain may require additional authority verification. Failure to verify the administrative email prevents production activation. PurposeTix may permit additional verification or an administrative exception for a legitimate organization that does not maintain its own email domain. Temporary demonstration or evaluation workspaces may use a personal email address and remain subject to separate demo rules.
Primary Organization Email: [Verified organization/admin email]
Verification by PurposeTix indicates only that specified verification requirements were satisfied at the time of review. Verification is not an endorsement, certification, or guarantee of the Organization, its events, officers, finances, charitable status, or activities.
3. ACCOUNT SECURITY AND AUTHORIZED USERS
The Organization is responsible for managing access to its PurposeTix workspace and assigning access only to authorized individuals. Users must protect credentials and must not knowingly permit unauthorized access. The Organization should promptly update or remove access when an administrator, employee, volunteer, contractor, officer, or other representative is no longer authorized and should promptly notify PurposeTix of suspected unauthorized access, compromised credentials, fraudulent account activity, or material changes in organizational authority. PurposeTix may require reverification after a material change in ownership, control, administrative contact, organization classification, or account authority.
4. ACCEPTABLE USE AND PROHIBITED CONDUCT
The Organization and its users must not create a fictitious, deceptive, or unauthorized organization or event; submit forged, altered, fraudulent, or materially misleading information or documentation; misrepresent identity, authority, affiliation, eligibility, nonprofit or tax status; evade verification, eligibility, pricing, payment, security, or access controls; obtain unauthorized access to another organization or user account; interfere with Platform security or operation; distribute malicious code or conduct unauthorized security testing; engage in fraudulent, deceptive, abusive, or unlawful activity; infringe another party's intellectual-property, privacy, publicity, or other rights; or otherwise use PurposeTix in violation of applicable law.
The Organization is responsible for the authorized use of its workspace by its administrators, employees, volunteers, contractors, event planners, agencies, and other representatives.
5. ORGANIZATION CONTENT AND EVENT RESPONSIBILITY
The Organization is responsible for its events and for the legality, accuracy, and completeness of event descriptions, ticket terms, pricing, refund or cancellation information, fundraising representations, sponsor information, communications, organization branding, and other Organization-provided content. The Organization represents that it has the rights, licenses, permissions, and authority necessary for the events, content, branding, fundraising activities, and other activities it conducts through PurposeTix.
6. PLATFORM SERVICES, FEES AND COMMERCIAL TERMS
The Platform provides event ticketing and organization event-operations technology, including event setup, ticketing, permitted payment-provider integrations, QR check-in, communications, reporting, and related organization controls. The Organization receives ticket proceeds through its selected third-party payment provider unless a separately executed payment product expressly states otherwise. PurposeTix does not receive, hold, settle, or disburse ticket revenue under this Agreement solely by providing the software platform.
Selected Plan: Community
Pricing Catalog: Launch Pricing 2.1.6
Plan subscription / activation pricing: See the exact commercial snapshot generated at signing
PurposeTix paid-ticket fee: 2.0000% + $0.59 per paid ticket, capped at $4.99 per paid ticket.
PurposeTix donation platform percentage: 0.0000%.
PurposeTix sponsorship platform percentage: 0.0000%.
The Organization agrees to pay PurposeTix platform charges accrued under the applicable Pricing Catalog and any written pricing exception. Third-party payment processors may impose their own terms and fees. PurposeTix billing is separate from the Organization's ticket-payment processor and ticket proceeds unless another signed payment agreement states otherwise.
Profile-specific terms: The Organization represents that any nonprofit or tax-exempt status it provides to PurposeTix is accurate and current. Charitable fundraising, donation, tax-receipt, and recurring-giving features may be used only when legally applicable and enabled for the Organization. The Organization remains responsible for charitable solicitation, donor disclosure, tax, and fundraising-compliance obligations.
7. BILLING AUTHORIZATION AND COLLECTION
PurposeTix may invoice or, where separately authorized by the Organization, automatically debit an approved billing method for amounts due. Billing mandates and payment-method authorizations are recorded separately from this Agreement.
8. VERIFICATION, INVESTIGATION AND PROTECTIVE MEASURES
PurposeTix may request information reasonably necessary to verify Organization identity, administrative authority, email ownership, eligibility, organizational or tax status, payment configuration, or suspected misuse. The Organization agrees to reasonably cooperate with legitimate verification, fraud, security, payment-dispute, or misuse investigations involving its workspace.
If PurposeTix reasonably believes an account may involve fraud, material misrepresentation, unauthorized access, security compromise, or unlawful activity, PurposeTix may temporarily restrict affected functionality while reviewing the matter. Where reasonably appropriate, PurposeTix will provide an opportunity to clarify or correct an issue before permanent termination. PurposeTix may take immediate protective action when reasonably necessary to address fraud, security, legal, payment, or other material Platform risk.
9. SUSPENSION AND TERMINATION
PurposeTix may restrict, suspend, or terminate access for material breach, fraudulent or intentionally misleading information, impersonation or unauthorized organization creation, unlawful or prohibited use, security compromise, material nonpayment where applicable, failure to maintain required verification, violation of applicable Platform policies, or circumstances requiring action under applicable law. Previously paid attendee tickets, QR credentials, event-day check-in, refund access, and historical records will not be invalidated solely because the Organization owes PurposeTix fees. Suspension or termination does not eliminate obligations or liabilities that arose before its effective date.
10. ORGANIZATION RESPONSIBILITY AND REMEDIES
The Organization remains responsible for consequences arising from its fraudulent conduct, intentional misrepresentation, unauthorized use, unlawful activity, infringement of third-party rights, or material violation of this Agreement, subject to the limitation-of-liability, indemnification, and other provisions of this Agreement and applicable law. PurposeTix retains contractual and legal remedies available for fraud, falsification, impersonation, misuse, unauthorized access, or other unlawful conduct.
11. PRIVACY, DATA AND RECORDS
PurposeTix processes information according to its applicable Privacy Policy and related data-protection terms. The Organization is responsible for having appropriate rights and permissions for information it submits and for complying with applicable privacy, communications, marketing, and consent requirements. PurposeTix may retain immutable electronic copies of this Agreement, commercial terms shown at signing, signature metadata, hashes, audit records, verification records, and related billing records for legal, accounting, security, fraud-prevention, and dispute-resolution purposes.

12. COMMUNICATIONS
PurposeTix may send operational communications relating to account administration, organization verification, agreements, security, billing, service changes, and other necessary account matters. Marketing and product communications are handled according to applicable consent and communication preferences. The Organization is responsible for keeping its primary administrative contact reasonably current.
13. INTELLECTUAL PROPERTY
PurposeTix and its licensors retain ownership of the PurposeTix Platform, software, interfaces, documentation, trademarks, and related technology. The Organization retains its rights in organization content, event information, branding, and other materials it provides. The Organization grants PurposeTix the limited rights reasonably necessary to host, display, process, transmit, and otherwise provide the requested services.
14. CONFIDENTIALITY
Each party will use reasonable measures to protect nonpublic confidential information received from the other party and will use such information only as permitted by this Agreement or applicable law. This section does not apply to information that is public through no breach of this Agreement or lawfully obtained without confidentiality restrictions.
15. WARRANTY; LIMITATION OF LIABILITY; INDEMNIFICATION
PurposeTix will use commercially reasonable efforts to provide the Platform in accordance with its published functionality. Except for express warranties contained in this Agreement or applicable commercial terms, the Platform is provided subject to disclaimers permitted by applicable law. PurposeTix does not guarantee uninterrupted operation or that every event, organization, attendee, donor, payment provider, or third-party service will operate without error.
15.1 LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, neither PurposeTix nor the Organization shall be liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of business opportunities, or business interruption, arising from or related to this Agreement or use of the Platform, whether based on contract, tort (including negligence), or any other legal theory, even if advised of the possibility of such damages.
Except for the exclusions stated below, the total aggregate liability of PurposeTix arising from or relating to this Agreement shall not exceed the greater of (a) the total platform fees actually paid by the Organization to PurposeTix during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one thousand U.S. dollars (US $1,000).
The foregoing limitation shall not apply to liability that cannot lawfully be limited or excluded, or to liability arising from a party's fraud, willful misconduct, or gross negligence. Nothing in this Agreement limits any payment obligation expressly owed by the Organization, any legally non-excludable statutory right, or any obligation expressly identified elsewhere in this Agreement as surviving these limitations.
PurposeTix provides technology services for event management, ticketing, registration, fundraising, communications, and related operations. Except to the extent directly caused by PurposeTix's breach of this Agreement or other legally actionable conduct, PurposeTix shall not be responsible for an Organization's event cancellation, inaccurate event information, unauthorized representations, third-party payment-provider failures, or disputes between the Organization and its attendees, donors, sponsors, vendors, or other third parties.
The parties acknowledge that the allocation of risk reflected in this Section is an essential basis of their agreement and the pricing of PurposeTix services.
15.2 INDEMNIFICATION
Organization Indemnification. To the extent permitted by applicable law, the Organization shall defend, indemnify, and hold harmless PurposeTix, its affiliates, officers, directors, employees, and authorized representatives from and against third-party claims, actions, damages, liabilities, judgments, settlements, and reasonable attorneys' fees arising from:
(a) events, programs, fundraising activities, merchandise, services, or other activities organized, advertised, or conducted by the Organization;
(b) the Organization's material violation of applicable law, regulations, charitable solicitation requirements, intellectual-property rights, privacy obligations, or third-party contractual obligations;
(c) fraudulent, materially inaccurate, misleading, or unauthorized information, representations, or content provided by the Organization;
(d) the Organization's breach of this Agreement, including misuse of the Platform or unauthorized use of organizational accounts; or
(e) bodily injury, death, or damage to tangible property arising from the Organization's events or operations.
The Organization's indemnification obligations shall apply only to the extent the relevant claim is attributable to the Organization or persons for whom it is legally responsible, and shall not extend to the extent caused by PurposeTix's own negligence, breach of this Agreement, or other legally actionable misconduct.
PurposeTix Indemnification. PurposeTix shall defend and indemnify the Organization against third-party claims alleging that the unmodified PurposeTix software, when used as authorized under this Agreement, infringes a United States copyright or trademark, except to the extent the claim arises from Organization-provided content, unauthorized modifications, combinations not supplied or authorized by PurposeTix, or use contrary to this Agreement.
Indemnification Procedure. The party seeking indemnification shall promptly notify the indemnifying party in writing of any claim, provided that delayed notice shall relieve the indemnifying party of its obligations only to the extent materially prejudiced by the delay. The indemnifying party shall control the defense and settlement of the claim using qualified counsel, subject to the indemnified party's reasonable cooperation.
The indemnifying party shall not enter into a settlement that admits fault on behalf of the indemnified party, imposes nonmonetary obligations upon it, or otherwise adversely affects its rights without the indemnified party's prior written consent, which shall not be unreasonably withheld. The indemnified party may participate in the defense using its own counsel at its own expense.
These indemnification obligations shall survive termination or expiration of this Agreement to the extent applicable to claims arising from events or conduct occurring during the term of the Agreement.
16. CHANGES, NOTICES, GOVERNING LAW AND VENUE
PurposeTix may update Platform policies and may publish new versions of this Agreement when appropriate. A materially revised agreement may require renewed acceptance before continued use of affected production services. Notices may be delivered electronically to the Organization's verified administrative email unless applicable law or a signed agreement requires another method.
This Agreement is governed by the laws of Ohio. Venue for disputes will be Celeste Center, except where applicable law requires otherwise.

17. ENTIRE AGREEMENT
This Agreement, applicable commercial terms, incorporated policies, and any signed order form or addendum constitute the agreement between the parties regarding the applicable PurposeTix services. If a separately signed agreement expressly conflicts with these terms, the separately signed agreement controls to the extent of that conflict. Material amendments or a change to the Organization's agreement profile may require electronic reacceptance. Earlier signed versions remain retained as superseded historical records.
